Terms of Service

These Terms of Service ("Terms") govern your access to and use of neatlyflow.com and the NeatlyFlow scheduling platform (the "Service") operated by NeatlyFlow LLC ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Description of Service
NeatlyFlow is a cloud-based scheduling and business management platform designed for cleaning companies. Features include employee scheduling, client management, invoicing, time tracking, analytics, and related tools. The specific features available to you depend on the subscription plan you have purchased.
2. Accounts and Eligibility
You must be at least 18 years old and capable of forming a legally binding contract to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at support@neatlyflow.com if you suspect unauthorized access to your account.
Each company account is isolated in its own database. You are responsible for ensuring that employees you invite or add to your account have agreed to these Terms.
3. Free Trial
New accounts receive a 14-day free trial with full access to all Starter plan features (Pro and Enterprise features require a paid plan). No credit card is required to start the trial. At the end of the trial period, write access (creating or editing employees, clients, and events) is restricted until you subscribe to a paid plan. Your existing data is preserved and remains accessible in read-only mode. We reserve the right to modify or discontinue the free trial at any time.
4. Subscriptions and Billing
Paid plans are billed on a monthly basis through Stripe, our third-party payment processor. By subscribing, you authorize us to charge your payment method on a recurring basis until you cancel. All prices are in USD and are exclusive of any applicable taxes.
Plan limits (number of employees, monthly events) are enforced as described on the pricing page. Exceeding a limit will prevent further additions until you upgrade your plan.
We reserve the right to change pricing at any time. We will provide at least 30 days' notice of any price changes via email to the address on file.
5. Cancellation and Refunds
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period — you will retain full access until that date. We do not provide prorated refunds for partial billing periods.
If you believe you were charged in error, contact us at support@neatlyflow.com within 30 days of the charge and we will review your case. Refunds are issued at our sole discretion.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Upload or transmit malware, viruses, or any malicious code
- Attempt to gain unauthorized access to any part of the Service or its infrastructure
- Reverse engineer, decompile, or extract source code from the Service
- Resell or sublicense access to the Service without our written consent
- Use the Service to store or process data in violation of any privacy law
We reserve the right to suspend or terminate accounts that violate these rules without notice or refund.
7. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of all data you enter into the Service. We process your data solely to provide and improve the Service.
Each company's data is stored in a logically isolated database. We do not share your business data (employees, clients, events, invoices) with any third parties except as necessary to provide the Service (e.g., Stripe for payment processing, Resend for transactional email).
8. Data Retention and Deletion
If you delete your account, your company's data — including all employees, clients, events, and invoices — is permanently deleted from our systems within 30 days. This action is irreversible. We recommend exporting any records you need before deleting your account.
9. Intellectual Property
The Service, including its software, design, and branding, is owned by NeatlyFlow LLC and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes during the term of your subscription.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEATLYFLOW LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless NeatlyFlow LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
13. Governing Law and Disputes
These Terms are governed by the laws of the United States. Any dispute arising from these Terms or the Service shall first be attempted to be resolved informally by contacting us at support@neatlyflow.com. If informal resolution fails, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in English. You waive any right to participate in a class action lawsuit or class-wide arbitration.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
